Sucor lands real, sometimes jumbo mandates (GOTO, MBMA, SUPA, RATU) and has produced standout winners (RATU ~+795%, CYBR ~+1,130%). But the book is genuinely mixed: GOTO (~-80%), BUKA (~-59%), MBMA (~-33%) and especially HILL (~-95%, special-monitoring) are well underwater. First-day pops/ARA are common; durable holding-up is hit-or-miss.

PRDL is a clean, founder-family-controlled deal: the IVD-manufacturing arm of the Prodia laboratory group, controlled by PT Prodia Utama (35.7%) owned equally by six independent Prodia founders, alongside listed parent PRDA (27.3%) and a 7% foreign strategic stake from Germany's DiaSys. No PEPs, no Indonesian conglomerate in control. Two secondary notes worth knowing rather than fearing: the DiaSys stake is effectively held by China's Mindray (75% owner since Dec 2023), and Prajogo Pangestu's Barito group holds a small ~1.48% minority in the listed parent PRDA (not in PRDL itself).

  • Foreign strategic shareholder DiaSys is 75% controlled by China's Shenzhen Mindray since Dec 2023, so the 7% is effectively a Mindray-affiliated stake
  • Prajogo Pangestu / Barito group (TPIA) holds a small ~1.48% minority in listed parent PRDA (plus ~4.6% via Henan Putihrai funds) acquired just before the IPO; non-controlling and one level removed from PRDL, but flagged by media as quiet accumulation

Thesis

PT Prodia Diagnostic Line Tbk (PRDL, brand Proline) is a small, founder-controlled in-vitro diagnostics (IVD) manufacturer inside the Prodia group, raising roughly Rp62 bn at the cap by issuing 522,900,000 new primary shares (30.00% of post-IPO capital) at Rp100–Rp120 per share. The defining feature is what the money is for: the IPO is primarily a debt-repair exercise, with a fixed Rp35,666,666,667 — the majority of net proceeds — earmarked to repay bank debt taken on for a 2024 capacity build that collided with a revenue collapse. This is effectively a second IDX listing of the Prodia group, alongside the already-listed PT Prodia Widyahusada Tbk (PRDA). The analytical read is that PRDL is cheap in absolute terms (~10–12× trailing P/E, ~1.4× P/BV) but that discount is earned: extreme earnings volatility, severe channel concentration, a pre-IPO restatement and auditor change, and a thin, illiquid float.

How the business works

PRDL manufactures IVD reagents and diagnostic instruments (clinical chemistry, hematology, immunology, biomolecular) under the Proline and DiaSys brands, classified under KBLI 21015. It is a standalone single entity with no subsidiaries, so net profit equals owner profit with no minority interest. Crucially, it is not a captive intra-group sales channel: it sells overwhelmingly through third-party distributors and OEM partners rather than to the Prodia lab network, which is structurally cleaner on the revenue side but concentrates risk in that external distributor channel. Distribution reaches roughly 370 kabupaten/kota and 7,600+ end-users (hospitals, puskesmas, public and private labs), with a small workforce of 81 (2025). The revenue mix is shown in a separate card.

The offering & ownership

This is a 100% primary offering — all 522,900,000 shares are newly issued, with no selling shareholders and no disclosed greenshoe. Because the issuance-cost line is blank ("•%") in the preliminary prospectus, net proceeds are back-solved from the prospectus's own allocation arithmetic — the fixed Rp35.667 bn debt item equals 62.57% of net, implying net proceeds of roughly Rp57.0 bn at the cap and a biaya emisi near 9.2% of gross. Price sensitivity is severe and asymmetric: since debt repayment is a fixed Rupiah amount, a weak book at the floor would push it to ~76.6% of net, squeezing growth (capex plus working capital) to roughly Rp11 bn. Ownership stays firmly with the founder group — Prodia Utama and PRDA together hold ~63% post-IPO, with Diasys at 7%; the cap table is a separate card.

Governance & related parties

Control rests collectively with six Prodia founders (each 16.67% of Prodia Utama), the same group that controls listed PRDA — so this is a group monetisation/restructuring, not an independent company; cross-reading PRDA's disclosures is warranted, as is verifying the named Independent Commissioner's genuine independence given the tight control. The pivotal relationship is the triple dependency on Diasys Diagnostic Systems GmbH (Germany): simultaneously a 10%-pre / 7%-post shareholder, the technology licensor, and a reagent/raw-material supplier. The licence (since April 2011, recently extended 13 April 2026 to 17 April 2033) lets PRDL manufacture reagents under Diasys supervision for licence fees; the Euro-denominated payable (Rp628 m at YE2025) confirms ongoing purchases. The extension de-risks the near term, but core reagent technology resting on one foreign related party is a structural risk, and working-capital proceeds may partly flow back to Diasys. Other related-party links are mostly cost-side (notably renting its building from Grhanis); related-party revenue is immaterial.

Reading the financials

The headline 2025 result — revenue Rp74.37 bn (+26.8%) and net profit Rp16.99 bn (+69.9%) — must not be read off a cherry-picked base. 2023 is an anomalous peak (revenue +301.9%, profit +1,809%) that was ~77% driven by a single BUMN distributor, PT Rajawali Nusindo (Rp86.07 bn), almost certainly a government health-program order that did not repeat; when it collapsed, 2024 revenue halved (−47.5%) and profit fell −72.1%. Even the 2025 recovery leaves the business ~33% below its 2023 revenue peak, and Rajawali Nusindo remains ~33% of revenue (top-3 channels ~54%). This is the company's own stated #1 risk — dependence on lumpy government health spending — and it makes earnings inherently low-visibility. Meanwhile non-current assets roughly doubled to Rp148.9 bn on debt funding for the Cikarang build, cash collapsed 63% in 2025 to Rp10.8 bn, and DSCR fell to 1.95 in 2024 against a ≥1 covenant — the deleveraging rationale for the IPO. The structural quality item is the audit cluster: FY2025 carries an unmodified EY (KAP Purwanto Susanti dan Surja) opinion with revenue recognition as the Key Audit Matter, but FY2024/2023 were audited by a different firm (KAP HHES) and the FY2024 statements were restated/reissued (Emphasis of Matter). An auditor change (HHES→EY) stacked with a restatement of the very revenue line that is the KAM is the top diligence item; the restatement reason should be established before relying on a clean "audited by EY" line.

Valuation

On an absolute basis PRDL is cheap — roughly 10–12× trailing earnings and ~1.4× book — the opposite of a premium deal. The analytical caution is that the discount is appropriate rather than an opportunity: the multiple is only as reliable as the assumed normal earnings power, and 2025's Rp16.99 bn, the 3-year average (~Rp20.9 bn), and the unrepeatable 2023 peak imply very different P/E lenses. Post-money ROE also compresses toward ~12% as equity roughly doubles. The natural live comparable is PRDA, its own listed affiliate, plus other IDX healthcare/med-device names — those current multiples should be pulled at publication before any relative cheap/expensive call. The full multiples table is a separate card.

Bottom line

PRDL offers real positives that the structural story partly offsets: healthy gross margins (61–68%), the Prodia brand and listed-affiliate parentage, a Big-4 EY audit, the Diasys licence secured to 2033, a genuine government-health-spending tailwind (APBN 2026 health budget Rp244 tn; the CKG screening program), and — notably — a materially stronger lock-up than peers, with a hard 8-month POJK 25/2017 undertaking on all three pre-IPO holders (70% of post-IPO capital) plus a 12-month control commitment from the six UBOs. The ESA is generous and aligning but a real cash cost: up to 36,603,000 shares (7% of offered) given free to permanent staff, paid from internal cash, with a 12-month lock-up. Against that sits a debt-repair use of proceeds that leaves ~Rp58 bn of bank debt outstanding, volatile and government-dependent earnings off an unrepeatable peak, an unresolved 2024 restatement, capacity built ahead of demand, thin cash, and a tiny illiquid near-par float. The verdict is consistent throughout: cheap, but cheap for documented reasons.
